Doubleview Gold announces C$10 million private placement financing
Doubleview Gold Corp. (TSXV: DBG) announced a non-brokered private placement to raise up to C$10 million through the sale of flow-through shares and non-flow-through units.
The financing consists of two components. The company will issue up to 5 million flow-through shares at C$1.00 per share for up to C$5 million. Additionally, Doubleview will offer up to 7.14 million non-flow-through units at C$0.70 per unit for up to C$5 million.
Each non-flow-through unit includes one common share and one warrant exercisable at C$1.00 for 24 months. The warrants include an accelerated expiry provision if the company's shares trade at C$1.25 or higher for 10 consecutive trading days.
Proceeds from the flow-through shares will fund exploration work on the company's British Columbia projects, particularly the Hat polymetallic project in northwestern BC. The funds will support drilling, geological advisory services, and other Canadian exploration expenses that qualify as flow-through mining expenditures under the Income Tax Act.
The Hat deposit contains indicated resources of 150 million tonnes at 0.408% copper equivalent and inferred resources of 477 million tonnes at 0.344% copper equivalent, based on a mineral resource estimate completed in July 2024. The deposit also contains copper, gold, cobalt and silver, with potential for scandium mineralization.
All securities issued under the private placement will be subject to a four-month and one-day hold period from the date of issuance. The closing requires regulatory approvals including from the TSX Venture Exchange.
The company may pay finder's fees in connection with the placement in accordance with TSX Venture Exchange policies.
