Discovery Energy Metals plans private placement of up to $1.25M

Discovery Energy Metals Corp. (CSE: DEMC)(OTCQB: DEMCF) announced plans for a non-brokered private placement financing of up to $1,250,000, according to a press release dated July 10, 2026.



The offering consists of two components. The first includes up to 3,000,000 non-flow-through units priced at $0.25 per unit, for gross proceeds of up to $750,000. Each unit comprises one common share and one transferable warrant exercisable at $0.30 per share for 24 months from issuance.



The second component includes up to 2,000,000 flow-through units priced at $0.30 per unit, for gross proceeds of up to $500,000. Each flow-through unit comprises one flow-through common share and one non-flow-through warrant exercisable at $0.35 per share for 24 months from issuance.



The company stated that proceeds will be used for general working capital and property exploration. The offering remains subject to regulatory approvals, and all securities issued will carry a statutory hold period of four months and one day. The company may pay finder's fees in connection with the placement.



Separately, Discovery Energy Metals extended its marketing and investor awareness agreement with ClickCatalyst Inc. for an additional 60-day term at a cost of CAD$250,000, plus applicable taxes.
