Dianthus Therapeutics announces $150 million public offering

Dianthus Therapeutics Inc. (NASDAQ: DNTH) announced it has commenced an underwritten public offering of $150 million of its common stock or pre-funded warrants to purchase common stock shares. The clinical-stage biotechnology company also expects to grant underwriters a 30-day option to purchase up to an additional $22.5 million of common stock shares at the public offering price, less underwriting discounts and commissions.
The company plans to use net proceeds from the offering to advance preclinical and clinical development activities, as well as for working capital and general corporate purposes, according to the press release statement.
Jefferies, TD Cowen, Evercore ISI and Stifel are serving as joint book-running managers for the proposed offering. The offering is subject to market and other conditions, with no assurance regarding completion timing or final terms.
The securities are being offered under a shelf registration statement that became effective with the Securities and Exchange Commission on October 9, 2024. All securities in the offering are being sold by Dianthus.
Dianthus Therapeutics focuses on developing antibody complement therapeutics for severe autoimmune diseases. The company is based in New York and Waltham, Massachusetts.
