DelphX cuts convertible debenture to $35,000 and plans new placement
DelphX Capital Markets Inc. (TSXV: DELX) (OTCQB: DPXCF) has issued a correction to a June 1, 2026 announcement, disclosing that its non-brokered convertible debenture private placement raised $35,000 in gross proceeds, not the $125,000 previously reported.
The company said the subscriber reduced its commitment, and DelphX does not expect to receive the remaining balance. The debenture has been amended to reflect the lower $35,000 principal amount, bears interest at 8% per annum, matures May 29, 2027, and is convertible into up to 700,000 common shares at a conversion price of $0.05 per share. No securities will be issued in connection with the unfunded portion.
Separately, DelphX announced plans for a non-brokered private placement of up to 2.5 million units at $0.02 per unit, for gross proceeds of up to $50,000. Each unit consists of one common share and one common share purchase warrant. Each warrant allows the holder to purchase one additional common share at $0.06 for two years from issuance.
The company may pay finders' fees to eligible finders, with details to be disclosed at a later date. The offering is subject to approval by the TSX Venture Exchange, and issued securities will carry a hold period of four months plus one day. Proceeds are intended for general corporate purposes.
