DelphX closes two private placements raising C$125,000

DelphX Capital Markets Inc. (TSXV: DELX) (OTCQB: DPXCF) has closed two non-brokered private placements, raising a combined C$125,000 in gross proceeds, according to a company statement.



The first placement, announced July 20, 2026 and closed August 5, 2026, issued 8,500,000 units at C$0.01 per unit for gross proceeds of C$85,000. Each unit consists of one common share and one warrant exercisable at $0.06 per share for two years from issuance.



An insider participated in that offering by subscribing for 1,500,000 units, classifying the transaction as a related party transaction under Multilateral Instrument 61-101. DelphX relied on exemptions from formal valuation and minority approval requirements, as the value of securities issued to insiders did not exceed 25% of the company's market capitalization.



In connection with that offering, DelphX will pay C$700 in cash finder's fees and issue 70,000 finder's warrants to Canaccord Genuity ITF Rick Langer. The finder's warrants are exercisable at $0.06 each for two years.



The second placement, announced June 29, 2026 and closed June 30, 2026, issued 2,000,000 units at C$0.02 per unit for gross proceeds of C$40,000. Each unit similarly consists of one common share and one warrant exercisable at $0.06 per share for two years.



Both offerings remain subject to TSX Venture Exchange approval. Securities issued under each placement carry a hold period of four months plus one day from issuance. DelphX stated it intends to use net proceeds from both offerings for working capital and corporate overhead.
