Datacentrex announces public offering of common stock
Datacentrex Inc. (NASDAQ: DTCX) announced it has commenced a public offering of common stock shares and pre-funded warrants to purchase common stock shares for certain investors. The digital infrastructure company stated it intends to use net proceeds for working capital and general corporate purposes.
The offering is subject to market conditions, and the company provided no assurance regarding completion timing or final size and terms. Dominari Securities LLC is serving as the sole placement agent for the transaction.
The offering is being conducted under an effective shelf registration statement on Form S-3 that was declared effective by the Securities and Exchange Commission on May 30, 2025. A preliminary prospectus supplement and accompanying shelf prospectus describing the offering terms will be filed with the SEC.
Datacentrex operates as a digital infrastructure and capital deployment company that owns and operates Scrypt compute assets. The company's current platform centers on owned and operated Scrypt-based proof-of-work compute deployed through third-party colocation facilities. The company monetizes this compute primarily through hashrate marketplace mechanisms and manages a treasury of digital assets and cash.
