DEFSEC Technologies to raise CDN$5.54M in private placement

DEFSEC Technologies Inc. (TSXV: DFSC) (NASDAQ: DFSC) has entered into definitive agreements for a private placement expected to raise approximately CDN$5.54 million (US$4.0 million) in gross proceeds, before placement agent fees and other expenses.



The offering involves the issuance of 1,951,219 common shares, or pre-funded warrants in lieu thereof, priced at CDN$2.84 (US$2.05) per share. Buyers will also receive common share purchase warrants to acquire up to 1,951,219 additional common shares at an exercise price of CDN$3.30 per share, exercisable for 60 months following closing.



H.C. Wainwright & Co. is acting as exclusive placement agent for the offering. The transaction is expected to close on or about August 18, 2026, subject to customary closing conditions, including approval from the TSX Venture Exchange.



DEFSEC said it intends to use the net proceeds for business and market development, intellectual property protection and registrations, and general working capital purposes.



The securities have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption. The company said it has agreed to file one or more registration statements with the Securities and Exchange Commission covering the resale of the unregistered securities.



DEFSEC is headquartered in Ottawa, Canada, and develops tactical systems for military and security forces.
