DDC Enterprise Limited (NYSE: DDC) filed a universal shelf registration statement on Form F-3 with the U.S. Securities and Exchange Commission, according to a company statement.
The shelf registration allows DDC to offer and sell up to $500 million of common shares, warrants, units, or combinations thereof on a registered basis. The timing and terms of any offerings will depend on market conditions, the company's capital needs, and SEC regulations.
DDC stated that proceeds from future capital raises would support its bitcoin accumulation strategy. The company described its goal as establishing a substantial corporate bitcoin treasury.
The registration statement has been filed but is not yet effective. Securities cannot be sold until the registration statement becomes effective, and specific terms for any offerings will be determined when such offerings occur.
The shelf registration structure provides DDC with flexibility to access capital markets when conditions are favorable. Any future offerings under the registration will require a prospectus supplement filed with the SEC.
DDC operates as an Asian food platform company while positioning bitcoin as a reserve asset. The company has been implementing a bitcoin accumulation strategy alongside its culinary business operations.
