Curis prices $5.6M public offering at $1.50 per share

Curis, Inc. (Nasdaq: CRIS), a biotechnology company focused on developing emavusertib, announced the pricing of a public offering expected to raise approximately $5.6 million in gross proceeds before fees and expenses.



The offering includes 3,733,334 shares of common stock, or pre-funded warrants in lieu thereof, paired with warrants to purchase up to 3,733,334 additional shares. The combined public offering price is $1.50 per share and accompanying common warrant, or $1.49 per pre-funded warrant and accompanying common warrant.



The common warrants carry an exercise price of $1.75 per share, are exercisable immediately, and expire five years from the issuance date. The pre-funded warrants have an exercise price of $0.01 per share and are exercisable immediately until exercised in full.



Curis stated it intends to use net proceeds to fund research and development activities, as well as for working capital and general corporate purposes. The offering was expected to close on or about Aug. 14, 2026, subject to customary closing conditions.



A.G.P./Alliance Global Partners is acting as lead placement agent, with Laidlaw & Company (UK) Ltd. serving as co-placement agent. The offering is being made pursuant to a Form S-1 registration statement filed Aug. 10, 2026, and declared effective by the Securities and Exchange Commission on Aug. 12, 2026.
