CuriosityStream prices secondary offering at $3.50 per share

CuriosityStream Inc. (NASDAQ: CURI) announced the pricing of a secondary public offering by a selling stockholder of 7 million shares of common stock at $3.50 per share.



The offering is expected to close on August 14, 2025, subject to customary closing conditions. Underwriters have an option to purchase an additional 1.05 million shares within 30 days at the public offering price, minus underwriting discounts and commissions.



Needham & Company and Craig-Hallum serve as joint book-running managers for the offering, while Roth Capital Partners acts as co-manager.



The selling stockholder will receive all net proceeds from the offering. CuriosityStream is not selling any shares and will not receive proceeds from the transaction.



The offering is conducted through a shelf registration statement on Form S-3 that was declared effective on May 3, 2022, according to the company's statement.



CuriosityStream operates a global factual media platform with content covering science, nature, history, technology, society, and lifestyle. The company provides streaming services in more than 175 countries and operates multiple channels including its flagship Curiosity Stream service, linear television channel, and free ad-supported channels.
