Curbline Properties prices 10M share offering at ~$308.5M

Curbline Properties Corp. (NYSE: CURB) has priced an underwritten public offering of 10,000,000 shares of common stock at an aggregate gross price of approximately $308.5 million, before deducting estimated offering expenses, according to a press release.
The offering is structured through forward sale agreements with Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC and Wells Fargo Bank, National Association. The company will not receive proceeds from the initial sale of shares by the forward purchasers. Curbline expects to physically settle the forward sale agreements within approximately 18 months from the date of the prospectus supplement.
The underwriters — Goldman Sachs & Co. LLC, Morgan Stanley and Wells Fargo Securities — have been granted a 30-day option to purchase up to an additional 1,500,000 shares, which would bring the total to 11,500,000 shares if exercised in full.
The offering is expected to close on July 1, 2026, subject to customary closing conditions.
The company said it intends to use net proceeds from the settlement of the forward sale agreements for general corporate purposes, which may include property acquisitions, working capital, capital expenditures and repayment of outstanding debt.
