Cosmos Health lets 4.87 million Series B warrants expire unexercised
Cosmos Health Inc. (NASDAQ: COSM) announced that 4,874,126 Series B warrants expired unexercised on May 19, 2026, at 5:00 p.m. New York City time, according to a company statement.
The expired warrants carried an exercise price of $0.95 per share and represented approximately 38% of the company's total outstanding warrants. No new shares were issued as a result of the expiration, avoiding dilution to existing shareholders.
"The expiration of these warrants is a positive development for our shareholders," said Greg Siokas, Chief Executive Officer of Cosmos Health. "The elimination of 4.87 million warrant shares - representing almost 38% of our total outstanding warrants - meaningfully reduces our dilution overhang and reflects our ongoing commitment to a cleaner, more shareholder-friendly capital structure."
The warrant expiration removes what the company described as an overhang from its capital structure. Cosmos Health stated the development simplifies its financial structure as it continues executing its business strategy.
Cosmos Health is a diversified healthcare group that owns pharmaceutical and nutraceutical brands and operates through subsidiaries in Greece and the UK. The company also has research and development partnerships and operates in the telehealth space through its acquisition of ZipDoctor, Inc.
