Cosa Resources announces C$5 million bought deal private placement
Cosa Resources Corp. (TSXV: COSA) announced it has entered into an agreement with underwriters led by Velocity Trade Capital Ltd. and Haywood Securities Inc. for a bought deal private placement totaling C$5,017,550.
The offering consists of 1,670,000 common shares at C$0.60 per share, 3,045,000 charity flow-through shares at C$0.99 per share, and 1,430,000 flow-through shares at C$0.70 per share. The underwriters have an over-allotment option to purchase up to an additional C$750,000 of securities.
Denison Mines Corp. (TSX: DML) (NYSE American: DNN), Cosa's largest shareholder, is expected to participate in the offering under its pre-emptive and top-up rights. Denison holds these rights under an investor agreement dated January 14, 2025.
Cosa plans to use proceeds from common shares for exploration, development and working capital. Funds from flow-through shares will finance Canadian exploration expenses for uranium projects in Saskatchewan's Athabasca Basin by December 31, 2027. The company will renounce qualifying expenditures to flow-through subscribers effective December 31, 2026.
The flow-through shares qualify for tax benefits under Canadian tax regulations. Charity flow-through shares and regular flow-through shares will qualify as eligible flow-through shares under Saskatchewan's mineral exploration tax credit regulations.
The offering is expected to close on or about June 24, 2026, subject to regulatory approvals including TSX Venture Exchange approval. The securities have not been registered under U.S. securities laws.
Cosa Resources operates uranium exploration projects across approximately 237,000 hectares in northern Saskatchewan's Athabasca Basin region. The company's current focus includes drilling at Murphy Lake North and Darby projects in the eastern Athabasca Basin.
