Proceeds will fund eligible Canadian exploration expenses at the company's Touleary Project in Yukon, Canada, to be incurred on or before December 31, 2027. The qualifying expenditures will be renounced in favor of subscribers effective December 31, 2027.

An insider of the company subscribed for 45,000 units, constituting a related party transaction under Multilateral Instrument 61-101. The transaction is exempt from formal valuation and minority shareholder approval requirements under sections 5.5(a) and 5.7(1)(b) of MI 61-101, as the fair market value of securities issued to the insider does not exceed $2,500,000.
