Corcel announces $2 million private placement offering

Corcel Exploration Inc. (CSE: CRCL) (OTCQB: CRLEF) announced a non-brokered private placement offering of up to 11,111,111 units at $0.18 per unit for gross proceeds of up to $2 million.
Each unit consists of one common share and one-half warrant. The warrants allow holders to purchase additional shares at $0.30 each for 24 months after closing, subject to acceleration provisions. If the company's 10-day weighted average closing price reaches $0.40 or higher, Corcel may accelerate the warrant expiry date to 30 days following a press release announcement.
The company plans to use net proceeds for exploration and working capital purposes. Closing is expected around November 28, 2025, pending customary conditions including Canadian Securities Exchange approval.
Securities issued will be subject to a four-month and one-day statutory hold period from the closing date. The company may pay finder's fees to eligible parties in compliance with exchange policies and securities legislation.
Corcel Exploration is a mineral resource company focused on precious and base metals exploration in North America. The company holds a long-term lease on the Yuma King copper-gold project in Arizona, spanning 3,200 hectares with 515 unpatented federal mining claims in the Ellsworth Mining District. The property includes the former Yuma King Mine, which produced copper, lead, gold and silver from 1940 to 1963. Corcel also maintains 100% interest in the Willow copper project.
