Corbus Pharmaceuticals prices $75 million public offering

Corbus Pharmaceuticals Holdings, Inc. (NASDAQ: CRBP) announced the pricing of an underwritten public offering of 4,744,231 shares of common stock at $13.00 per share, according to a company statement. The oncology and obesity-focused company also offered pre-funded warrants to purchase 1,025,000 shares at $12.9999 per warrant to certain investors.
The total offering size reaches approximately $75 million before deducting underwriting discounts and estimated expenses. The pre-funded warrants carry an exercise price of $0.0001 per share. Corbus granted underwriters a 30-day option to purchase up to 865,384 additional shares under the same terms.
The offering is expected to close on or about November 3, 2025, subject to customary closing conditions. Corbus plans to use the net proceeds to fund clinical development of its pipeline and for working capital and general corporate purposes.
Jefferies LLC serves as the book-running manager for the offering, while RBC Capital Markets, LifeSci Capital LLC, and Mizuho Securities USA LLC act as lead managers.
The offering operates under a registration statement filed with the Securities and Exchange Commission that became effective on March 20, 2024. Corbus, headquartered in Norwood, Massachusetts, maintains a pipeline that includes CRB-701, an antibody drug conjugate targeting Nectin-4 on cancer cells, CRB-601, an anti-integrin monoclonal antibody, and CRB-913, a CB1 inverse agonist for obesity treatment.
