Cineverse prices $3.0 million public offering at $2.00 per share

Cineverse Corp. (NASDAQ: CNVS) announced the pricing of a public offering of 1,500,000 shares of Class A common stock at $2.00 per share. The entertainment technology company expects to raise approximately $3.0 million in gross proceeds before deducting underwriting discounts, commissions and other offering expenses.
The company granted the underwriter a 30-day option to purchase up to an additional 225,000 shares at the public offering price, less underwriting discounts and commissions. The offering is expected to close on February 17, 2026, subject to customary closing conditions.
The offering included participation from Cineverse Chairman and CEO Chris McGurk, along with other members of the management team, according to the company's announcement.
The Benchmark Company, LLC is serving as the sole underwriter for the offering.
The offering is being conducted under a shelf registration statement on Form S-3 that was previously filed with the Securities and Exchange Commission and became effective on January 25, 2024. A preliminary prospectus supplement and accompanying prospectus relating to the offering has been filed with the SEC.
Cineverse describes itself as an entertainment technology company and studio that develops technology and content for the industry. The company operates Matchpoint, a technology ecosystem powered by AI designed for content preparation, distribution and monetization across platforms.
