Caring Brands closes initial $4.6M of $9M private placement

Caring Brands Inc. (Nasdaq: CABR) completed an initial closing of $4.6 million under a $9 million Purchase Agreement on September 1, 2026, according to a company statement.



The funds were raised through the issuance and sale of convertible preferred shares to accredited investors. The company said it plans to use the proceeds to launch domestic and international marketing campaigns and build a proprietary salesforce.



According to a Current Report on Form 8-K, an additional $4.4 million in subscription documents have been executed, with the company awaiting those funds to clear. Upon receipt, the company said it expects to issue an additional 4,400 shares of Series B Preferred Stock, along with Series A and Series B Warrants each covering up to 4,400,000 shares of common stock. The company said it expects the additional closing to occur on or before September 4, 2026, subject to closing conditions, adding that no assurance can be given that the additional closing will be completed.



Chief Executive Officer Dr. Glynn Wilson said: "We are now ready to begin funding our full domestic and international marketing campaigns and create the Company's proprietary salesforce, moves that should enable us to substantially increase revenues at a quicker pace."



Caring Brands is a wellness consumer-products company based in Fort Pierce, FL, with a portfolio of skin and hair growth products including Hair Enzyme Booster and Photocil.
