Cardiff Oncology raises $10M in registered direct offering

Cardiff Oncology, Inc. (Nasdaq: CRDF) announced a registered direct offering expected to raise approximately $10 million in gross proceeds, before placement agent fees and other expenses.
The clinical-stage biotechnology company entered into definitive agreements for the sale of 8,571,429 shares of common stock and accompanying warrants to purchase up to an equal number of shares, at a purchase price of $1.05 per share and accompanying warrant.
Certain officers and directors of the company are also participating in the offering, purchasing an aggregate of 731,707 shares and accompanying warrants at a price of $1.435 per share and accompanying warrant. The warrants carry an exercise price of $1.31 per share and will expire five and one-half years from the initial exercise date.
The closing of the offering is expected to occur on or about July 16, 2026, subject to customary closing conditions. H.C. Wainwright & Co. is acting as the exclusive placement agent.
Cardiff Oncology said it intends to use the net proceeds for working capital and general corporate purposes. The offering is being made pursuant to a shelf registration statement filed with the Securities and Exchange Commission on February 27, 2025, and declared effective on May 13, 2025.
