Canadian Gold Resources reprices private placement to CDN$0.0675 per share

Canadian Gold Resources Ltd. (TSXV: CAN) has repriced a previously announced non-brokered private placement, lowering the share price to CDN$0.0675 from the price set in the original September 1, 2026 announcement, according to a press release from the company.



The offering consists of 1,481,482 common shares at the new price, with gross proceeds of up to CDN$100,000. The shares will be issued to two directors of the company, each classified as an accredited investor. Proceeds are designated for general working capital purposes.



The company said the repricing reflects the current market price of its common shares.



Because the subscribers are directors, the transaction constitutes a related party transaction under Multilateral Instrument 61-101. The company expects the transaction to qualify for an exemption from formal valuation and minority shareholder approval requirements, as the fair market value of the securities does not exceed 25% of the company's market capitalization.



All securities issued are subject to a statutory hold period of four months and one day from the date of issuance. The placement remains subject to customary closing conditions, including acceptance by the TSX Venture Exchange. Canadian Gold currently has 58,068,876 common shares outstanding.
