Camp4 Therapeutics closes second tranche of $100M private placement

Camp4 Therapeutics Corporation (Nasdaq: CAMP) announced the closing of the second tranche of a previously announced private placement, raising approximately $50.1 million in gross proceeds.



The second closing involved the issuance of 10,756,498 shares of common stock priced at $1.53 per share, 39,306 shares priced at $1.65 to certain directors, employees, and consultants, and 21,925,368 pre-funded warrants at $1.5299 each. The securities purchase agreement was originally dated September 9, 2025.



The company said it intends to use the net proceeds to advance CMP-002, its lead investigational antisense oligonucleotide therapeutic candidate targeting SYNGAP1-related disorder. Camp4 recently received clearance from Australia's Therapeutic Goods Administration and a local Human Research Ethics Committee to initiate a Phase 1/2 clinical trial for the condition. Proceeds will also support the company's early-stage pipeline.



SYNGAP1-related disorder is a rare genetic condition affecting more than 10,000 individuals in the United States. It is characterized by intellectual disability in 100% of patients, epilepsy in approximately 85%, and severe behavioral problems in approximately 70%. No approved disease-modifying therapies currently exist for the condition.



Investors participating in the second closing included Coastlands Capital, Janus Henderson Investors, Balyasny Asset Management, Vivo Capital, 5AM Ventures, Adage Capital Management LP, Trails Edge Capital Partners, and CURE SYNGAP1.



Leerink Partners acted as lead placement agent. Piper Sandler & Co., Cantor Fitzgerald & Co., and Wedbush Securities Inc. served as co-placement agents.



The securities were sold in a transaction not involving a public offering and have not been registered under the Securities Act of 1933. Investors were granted customary resale registration rights for shares issuable upon exercise of the pre-funded warrants.
