CEL-SCI prices $5.7 million stock offering at $3.82 per share

CEL-SCI Corporation (NYSE American: CVM) announced the pricing of a public offering of 1.5 million shares of common stock at $3.82 per share, according to a company statement. The clinical-stage cancer immunotherapy company expects to receive approximately $5.7 million in gross proceeds before deducting placement agent fees and other offering expenses.
The offering is structured as a best-efforts arrangement priced at-the-market under NYSE American rules. The transaction is expected to close on July 14, 2025, subject to customary closing conditions.
CEL-SCI plans to use the net proceeds to fund continued development of Multikine, its investigational cancer immunotherapy treatment, along with general corporate purposes and working capital needs.
ThinkEquity serves as the sole placement agent for the offering. The securities are being offered under a shelf registration statement on Form S-3 that was filed with the Securities and Exchange Commission on July 1, 2022, and declared effective on July 15, 2022.
The Vienna, Virginia-based company focuses on cancer immunotherapy treatments designed to boost patient immune systems before traditional treatments like surgery, radiotherapy, and chemotherapy. Multikine has received Orphan Drug designation from the FDA for neoadjuvant therapy in patients with squamous cell carcinoma of the head and neck and has been administered to over 740 patients in clinical studies.
