C3is prices $9 million public offering of units at $1.20 each
C3is Inc. (NASDAQ: CISS) announced the pricing of a public offering expected to generate approximately $9 million in gross proceeds before fees and expenses. The Athens-based shipping company set the offering price at $1.20 per unit.
The offering consists of 7.5 million units, each containing one share of common stock or one pre-funded warrant, plus two classes of warrants. Each unit includes a Class D warrant to purchase one share at $1.20 and a Class E warrant exercisable at $0.00001 per share.
Pre-funded warrants are priced at $1.19999 per unit and are immediately exercisable. Class D warrants are exercisable immediately and expire 60 months after issuance, with exercise prices subject to adjustments beginning ten trading days after closing. Class E warrants are also immediately exercisable with no expiration date.
The transaction is expected to close December 12, 2025, subject to customary closing conditions. C3is plans to use net proceeds for capital expenditures, including potential vessel acquisitions, working capital and general corporate purposes.
Aegis Capital Corp. serves as the exclusive placement agent for the offering. The Securities and Exchange Commission declared the registration statement effective December 10, 2025.
C3is operates four vessels providing dry bulk and crude oil transportation services, including three handysize drybulk carriers totaling 97,664 deadweight tons and one Aframax oil tanker with approximately 115,800 deadweight tons capacity.
