C3is prices $6M public offering at $0.52 per unit
C3is Inc. (Nasdaq: CISS), a ship-owning company based in Athens, Greece, announced the pricing of an underwritten public offering of 11,535,000 units at $0.52 per unit, according to a press release statement.
Each unit consists of one common share, or a pre-funded warrant in lieu thereof, and one Class F warrant to purchase one common share. The warrants are immediately exercisable upon issuance at $0.52 per share and expire one year from the date of issuance. The exercise price is subject to adjustment on the second and fifth trading days following the offering's close, to 70% and 50% of the initial exercise price, respectively, with the number of underlying shares increased proportionally.
Gross proceeds are expected to be approximately $6.0 million before underwriting discounts, commissions, and other expenses. The offering was expected to close on or about July 28, 2026, subject to customary closing conditions.
C3is has also granted underwriters a 45-day option to purchase up to an additional 908,765 common shares and/or warrants to purchase up to 908,765 common shares at the public offering price, less underwriting discounts and commissions.
Maxim Group LLC is acting as sole book-running manager for the offering.
