Burcon insiders boost participation in convertible debenture offering
Burcon NutraScience Corporation (TSX: BU) (OTCQB: BRCNF) announced that company insiders have increased their commitment to participate in a previously announced non-brokered private placement of convertible debentures.
The company had initially announced insider participation at a minimum of $2.0 million in principal amount on November 12, 2025. The increased insider participation may require disinterested shareholder approval, according to the press release.
"Burcon insiders and its largest shareholders have once again shown confidence in our business plan and sales trajectory by expanding their investment," said Kip Underwood, Burcon's chief executive officer.
The offering was originally expected to close on or about November 28, 2025. Due to increased investor interest and the time required to obtain shareholder approval, the closing timeline will be extended. The company stated it is working with key investors to finalize terms and conditions, which may change from what was previously announced.
The offering remains subject to execution of subscription agreements and regulatory approvals, including approval from the TSX and disinterested shareholders.
Burcon develops plant-based protein ingredients for the food and beverage industry. The Vancouver-based company holds patents covering proteins derived from pea, canola, soy, hemp, sunflower and other plant sources.
