BriaCell Therapeutics announces public offering of up to $25 million

BriaCell Therapeutics Corp. (NASDAQ: BCTX) announced a public offering of up to 2,793,296 common units on a best efforts basis. Each common unit consists of one common share and one warrant priced at $8.95 per unit, according to a company statement.

Each warrant entitles the holder to purchase one common share at an exercise price of $11.1875, representing 125% of the assumed public offering price. The warrants will expire five years from the date of issuance.

The company is also offering pre-funded units to purchasers whose purchases would result in beneficial ownership exceeding 4.99% or 9.99% of outstanding common shares. Each pre-funded unit includes one pre-funded warrant with an exercise price of $0.001 per share and one standard warrant. The pre-funded warrants are immediately exercisable and do not expire prior to exercise.

Pre-funded units are priced at $8.949 per unit, representing the common unit price minus $0.001. The components of both common units and pre-funded units will be immediately separable upon issuance.

The offering price for common units was based on the last reported sales price of the company's common shares on the Nasdaq Capital Market on December 19, 2025. All securities in the offering will be issued separately despite being sold as units.
