BrainStorm raises $1 million in private placement at premium pricing

Brainstorm Cell Therapeutics Inc. (OTCQB: BCLI) announced it has completed a $1 million private placement financing structured at a premium to its market price, according to a company statement.

The financing includes common stock priced at $0.60 per share, representing a premium to the $0.54 closing price on February 9, 2026, when the transaction was finalized. The investment includes warrants covering 120% of the shares with a five-year term and an exercise price of $1.00 per share.

The financing is structured in two tranches, with $500,000 already received and the remaining $500,000 scheduled for receipt within 30 days. The company must file a registration statement for the resale of the securities within 45 days.

"Securing this financing at a premium to the current market is a powerful vote of confidence in the trajectory of Brainstorm," said Chaim Lebovits, President and CEO. "The $1.00 warrant strike price, in particular, serves as a clear indicator of where we believe this company is headed as we make final preparations for our planned Phase 3b trial."

The company filed a Form 8-K regarding the transaction with the Securities and Exchange Commission on February 13, 2026. Proceeds will support ongoing regulatory initiatives, prepayments for the upcoming Phase 3b trial of NurOwn in ALS, and general corporate purposes.

BrainStorm develops adult stem cell therapies for neurodegenerative diseases. The company's NurOwn platform has received Orphan Drug designation from the FDA and European Medicines Agency for ALS treatment. A Phase 3 trial in ALS has been completed, and a Phase 3b trial is planned under a Special Protocol Assessment agreement with the FDA.
