Boxlight raises $5.5M in Series D preferred stock private placement

Boxlight Corporation (NASDAQ: BOXL) closed an initial tranche of a private placement on August 6, 2026, raising $5,500,000 through the sale of Series D Convertible Preferred Stock, according to a press release from the company.



The total private placement is structured for aggregate gross proceeds of up to $7,500,000, with the remaining $2,000,000 payable upon effectiveness of a resale registration statement, subject to certain conditions. The company agreed to issue 937,500 shares of Series D Preferred Stock at a purchase price of $8.00 per share, each carrying a stated value of $10.00, representing a 20% original issue discount.



Each share of Series D Preferred Stock is convertible into Class A common stock at a conversion price equal to the greater of the adjusted floor price then in effect or 80% of the lowest closing price of the Class A common stock during the five consecutive trading days prior to the conversion date. The preferred stock carries a 4.99% beneficial ownership limitation.



Concurrently, Boxlight entered into an Equity Purchase Agreement with Secure Net Capital LLC, giving the company the right to sell up to $15,000,000 of its Class A common stock over a 36-month period, subject to conditions including registration effectiveness. Boxlight agreed to issue $150,000 worth of Class A common stock as commitment shares under that agreement.



RBW Capital Partners LLC, with securities offered through Dawson James Securities, Inc., served as the exclusive placement agent for the private placement.



Boxlight stated it intends to use net proceeds for general corporate purposes, including working capital and debt retirement.
