Boardwalktech updates private placement structure to add U.S. investors

Boardwalktech Software Corp. (TSXV: BWLK) (OTCQB: BWLKF) has revised the structure of its previously announced non-brokered private placement, switching from the Listed Issuer Financing Exemption to the accredited investor exemption under National Instrument 45-106, according to a press release dated July 21, 2026.



The change is intended to allow participation from investors based in the United States, in addition to existing and new investors. All other terms of the offering remain unchanged from the company's July 13, 2026 announcement.



The offering consists of up to 30,000,000 units priced at C$0.05 per unit. Each unit includes one common share and one common share purchase warrant. Each warrant allows the holder to purchase one additional common share at C$0.06 for a period of 24 months from the closing date.



As a result of the exemption change, securities issued under the offering will be subject to a statutory hold period of four months and one day under applicable Canadian securities laws.



Closing remains subject to corporate and regulatory approvals, including approval from the TSX Venture Exchange.
