Bitcoin Depot raises $15 million in registered direct offering

Bitcoin Depot Inc. (NASDAQ: BTM) announced it has entered into agreements to sell 4,285,716 shares of Class A common stock at $3.50 per share in a registered direct offering. The transaction is expected to close on or about October 8, 2025, subject to customary closing conditions.



H.C. Wainwright & Co. is serving as the exclusive placement agent for the offering. The company expects to receive approximately $15 million in gross proceeds before deducting placement agent fees and other offering expenses.



Bitcoin Depot stated it intends to use the net proceeds for general corporate purposes. The shares are being offered under a shelf registration statement filed with the Securities and Exchange Commission on June 20, 2025, and declared effective on July 1, 2025.



The Atlanta-based company operates Bitcoin ATMs and describes itself as a fintech company that helps users convert cash to Bitcoin. According to the company, it operates over 9,000 kiosk locations across North America as of August 2025, with services available in 47 states through kiosks and in 31 states through retail locations via its BDCheckout product.



The offering details are contained in a prospectus supplement and accompanying prospectus that will be filed with the SEC and made available through the commission's website.
