Bionano Genomics prices $10 million public offering at $2 per share

Bionano Genomics Inc. (NASDAQ: BNGO) announced the pricing of a public offering of 5 million shares of common stock and accompanying warrants at $2.00 per share. The offering includes Series E warrants exercisable at $2.00 per share that expire in five years and Series F warrants exercisable at $2.00 per share that expire in 18 months.

The San Diego-based genome analysis company expects to receive approximately $10 million in gross proceeds before deducting placement agent fees and other offering expenses. If all warrants are exercised for cash, the company could receive an additional $20 million in proceeds.

H.C. Wainwright & Co. serves as the exclusive placement agent for the offering. The closing is expected to occur on or about September 17, 2025, subject to customary closing conditions.

Bionano stated it intends to use the net proceeds for working capital and general corporate purposes. The company noted that no assurance can be given that any of the warrants will be exercised.

The securities are being offered under a registration statement on Form S-1 that was declared effective by the Securities and Exchange Commission on September 16, 2025. The offering is being conducted through a prospectus that forms part of the effective registration statement.

Bionano provides genome analysis solutions through optical genome mapping technology for researchers and clinicians. The company also offers diagnostic testing services through its Bionano Laboratories business and platform-agnostic genome analysis software solutions.
