Biomea Fusion cancels planned public offering citing market conditions

Biomea Fusion, Inc. (Nasdaq: BMEA) announced it has terminated a proposed public offering of securities that was previously announced on Sept. 22, 2026.
The clinical-stage diabetes and obesity company said its management determined that current market conditions were not conducive to an offering on terms favorable to stockholders. No securities were sold in connection with the proposed offering.
The offering had been made pursuant to a shelf registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission on Aug. 5, 2025, and declared effective by the SEC on Aug. 15, 2025. A preliminary prospectus supplement had been filed with the SEC on Sept. 22, 2026.
