Biomea Fusion announces public stock and warrant offering

Biomea Fusion Inc. (NASDAQ: BMEA) announced it has commenced an underwritten public offering of common stock shares and accompanying warrants to purchase common stock shares, according to a company statement.
The clinical-stage diabetes and obesity company said it may also offer pre-funded warrants in lieu of common stock to certain investors. Biomea plans to grant underwriters a 30-day option to purchase up to an additional 15% of shares and warrants in the proposed offering.
Jefferies is serving as the sole book running manager for the proposed offering. The company stated the offering is subject to market and other conditions, with no assurance regarding completion, timing, size or final terms.
The securities are being offered under an effective shelf registration statement on Form S-3 filed with the Securities and Exchange Commission on August 5, 2025 and declared effective on August 15, 2025.
Biomea Fusion focuses on developing oral small molecule therapies icovamenib and BMF-650 for diabetes and obesity treatment. The company describes these conditions as affecting nearly half of Americans and one-fifth of the global population.
