BioSig Technologies announces underwritten public offering of common stock

BioSig Technologies Inc. (NASDAQ: BSGM) announced its intention to conduct an underwritten public offering of common stock or pre-funded warrants. The company plans to use net proceeds to purchase gold bullion according to its investment policy, for working capital and general corporate purposes.
The offering completion remains subject to market conditions, with no assurance regarding timing, size or terms. Clear Street and Needham & Company will serve as joint book-running managers for the offering.
BioSig recently merged with Streamex Exchange Corporation, a gold tokenization company that builds infrastructure to bring the gold market on-chain through tokenization technology. The offering will be conducted under a shelf registration statement on Form S-3 that the Securities and Exchange Commission declared effective on December 17, 2024.
The company operates in the medical device technology sector with its PURE EP Platform, which provides digital signal processing technology for electrophysiologists performing cardiovascular arrhythmia treatments. The platform enables physicians to acquire raw signal data in real-time without interference.
A preliminary prospectus supplement will be filed with the SEC, and securities may only be offered through a written prospectus that forms part of the effective registration statement. The company stated that neither BioSig nor the underwriters will sell securities in jurisdictions where such sales would be unlawful prior to proper registration or qualification.
