BioRestorative raises $1.085 million in registered direct offering

BioRestorative Therapies Inc. (NASDAQ: BRTX) announced it entered into agreements with accredited and institutional investors for a registered direct offering of 678,125 shares at $1.60 per share, generating gross proceeds of $1.085 million.



The offering price represents a premium to the company's closing price of $1.50 per share on October 3, 2025. The clinical-stage stem cell therapy company also agreed to issue unregistered warrants to purchase up to 508,594 shares at an exercise price of $2.75 per share, representing 75% warrant coverage.



The warrants will be exercisable starting six months from issuance until the five-year anniversary of the issuance date. The offering is expected to close on or about October 8, 2025.



BioRestorative plans to use net proceeds for clinical trials of its lead cell therapy candidate BRTX-100, pre-clinical research for its ThermoStem program, development of its biocosmeceuticals platform, and general corporate purposes.

Alere Financial Partners, a division of Cova Capital Partners LLC, served as the exclusive placement agent. The shares are being offered under a shelf registration statement previously filed with the Securities and Exchange Commission and declared effective in February 2023.



The concurrent private placement warrants are being offered under an exemption from Securities Act registration requirements. BioRestorative focuses on stem cell-based therapies for disc and spine disease treatment and metabolic disorders.
