BigBear.ai to reduce debt by $125 million through note conversions

BigBear.ai (NYSE: BBAI) announced plans to eliminate approximately $125 million in debt through the conversion and redemption of its 6.00% Convertible Senior Secured Notes due 2029.
The artificial intelligence solutions provider issued a redemption notice to holders of the convertible notes, setting January 16, 2026, as the redemption date. Notes not converted by that date will be redeemed for cash at face value plus accrued interest.
The company expects to reduce its total note-related debt from approximately $142 million to $17 million, representing the remaining balance of convertible notes due 2026. About $58 million in principal was already voluntarily converted by noteholders in 2025.
BigBear.ai expects to issue approximately 38 million shares of common stock to satisfy the note conversions. These shares were reserved when the notes were originally issued in 2024. The company anticipates most noteholders will voluntarily convert their notes, allowing completion of the transactions without significant cash expenditure.
"By meaningfully reducing our debt burden, we will improve our financial flexibility and position the Company to pursue our next chapter of growth," said Chief Executive Officer Kevin McAleenan in a statement.
The debt reduction is expected to lower the company's long-term liabilities and interest expenses while increasing its public float through the share issuance. BigBear.ai provides AI solutions for defense, national security, and critical infrastructure sectors.
