Beyond Lithium announces private placement to raise up to C$600,000

Beyond Lithium Inc. (CSE: BY) (OTCQB: BYDMF) announced a non-brokered private placement offering of up to 15 million flow-through units at C$0.04 per unit to raise aggregate gross proceeds of up to C$600,000.
Each unit consists of one flow-through common share and one-half of one common share purchase warrant. The warrants entitle holders to purchase one non-flow-through common share for 24 months from issuance at an exercise price of C$0.10 per share.
The company stated the proceeds will fund Canadian exploration expenses qualifying as flow-through critical mineral mining expenditures on its projects. All qualifying expenditures will be renounced to unit subscribers effective December 31, 2025.
The offering may be completed partially under the Existing Security Holder Exemption available to shareholders who held common shares as of November 12, 2025. If subscriptions exceed the maximum securities available, units will be allocated on a pro rata basis.
Beyond Lithium also provided an update on its Rare One rare earths project in British Columbia. The 5,900-hectare property is 100% owned by the company. Previous work from 2005 to 2017 included soil surveys, stream sampling, mapping, road construction and gravity surveys that identified targets with elevated light rare earth elements including lanthanum, praseodymium, cerium and neodymium.
The company said it continues digitizing historical data and has coordinated with an experienced field crew for follow-up programs in the upcoming field season, including soil and stream sampling surveys and mapping to refine potential rare earth mineralization sources.
Beyond Lithium will participate in the OTC Virtual Investor Conference on December 3, 2025, from 1:00-1:30 p.m. EST.
All securities issued under the offering will be subject to a four-month and one-day hold period from their issuance date, according to the company's statement.
