Beyond Air prices private placement at up to $30.1M

Beyond Air, Inc. (NASDAQ: XAIR) has entered into a securities purchase agreement for a private placement offering that could generate up to $30.1 million in gross proceeds, the company announced based on a press release dated July 30, 2026.
The offering includes 167,011 shares of common stock sold at $5.66 per share to institutional investors and at $5.76 per share to certain directors and officers. Pre-funded warrants to purchase up to 1,638,835 shares are also being issued at $5.6599 per unit. The financing is led by institutional healthcare investors, with participation from CEO Robert Goodman and CFO Dan Moorhead.
Each share or pre-funded warrant is accompanied by two series of warrants. Series A and Series B warrants each carry an exercise price of $5.51 per share, with each series covering up to 1,805,846 shares. Series A warrants expire on the earlier of one year from issuance or 45 days following potential FDA approval of the company's LungFit II premarket approval application. Series B warrants expire five years from issuance.
The $30.1 million figure assumes full cash exercise of all warrants, which the company noted is not guaranteed. Closing is expected on or about July 31, 2026. Net proceeds are intended for working capital and general corporate purposes.
Cantor is acting as lead placement agent. Citizens Capital Markets and Lake Street are also serving as placement agents.
Beyond Air said it plans to file a registration statement with the Securities and Exchange Commission covering resale of the shares within 15 days of closing, with effectiveness targeted within 75 days of filing in the event of a full SEC review.
