Battery X Metals announces $3 million private placement financing

Battery X Metals Inc. (CSE: BATX) announced a non-brokered private placement financing to raise up to $3 million through the issuance of 1,176,471 units priced at $2.55 each.



Each unit consists of one common share and one warrant. The warrants allow holders to purchase additional shares at $3.00 each for 24 months from the closing date. The company expects to close the financing on or around January 16, 2026, subject to Canadian Securities Exchange approval.



The Vancouver-based energy transition resource exploration company plans to use proceeds for business initiatives, corporate development expenses, regulatory matters, payment of outstanding debts, corporate awareness activities, and general working capital.



Battery X Metals also announced plans to settle up to $850,000 in outstanding debt by issuing 188,889 common shares at a deemed price of $4.50 per share. This debt settlement is expected to close around the same date as the private placement.



The company increased its budget for a corporate awareness engagement with bullVestor Medien GmbH by an additional €80,000 (approximately CAD $129,000). This expands the three-month marketing campaign targeting German investors that began November 21, 2025. The original engagement fee was €150,000.



Securities issued under both the private placement and debt settlement will be subject to a four-month-and-one-day statutory hold period. Insiders may participate in both transactions, which the company states may constitute related party transactions under applicable securities regulations.



Battery X Metals focuses on battery metals exploration, battery lifespan extension, and recycling of lithium-ion batteries and battery materials. The company trades on the Canadian Securities Exchange, OTCQB, and Frankfurt Stock Exchange.
