Aurelion establishes $500 million at-the-market equity offering program
Aurelion Inc. (NASDAQ: AURE) announced it has entered into an at-the-market equity offering sales agreement that allows the company to sell up to $500 million of its Class A ordinary shares through designated sales agents.
The company may sell shares from time to time at prevailing market prices, with Aurelion controlling the parameters including the number of shares, timing of sales, daily volume limits, and minimum pricing thresholds. The company is not obligated to sell any shares under the program.
Cantor Fitzgerald & Co., Yorkville Securities LLC, Canaccord Genuity LLC, and Cohen & Company Capital Markets will serve as sales agents. The agents will use commercially reasonable efforts consistent with normal trading practices to sell shares through methods deemed "at the market offerings" under Securities Act Rule 415.
The agreement terminates when all shares are sold or the agreement is terminated according to its terms. Sales will be conducted under Aurelion's Form F-3 registration statement filed with the Securities and Exchange Commission on October 20, 2025, which became effective December 23, 2025. A prospectus supplement dated January 8, 2026, was filed in connection with the offering.
Aurelion describes itself as a company focused on developing business around tokenized gold through Tether Gold (XAUâ‚®) and provides wealth management and asset management services. The company states it is the first Tether Gold Real World Asset company listed on NASDAQ.
