Atomera announces $25 million stock offering

Atomera Incorporated (NASDAQ: ATOM) announced it has entered into a securities purchase agreement with institutional investors for a registered direct offering of 5 million shares of common stock at $5.00 per share. The semiconductor materials and technology licensing company expects gross proceeds of approximately $25 million before fees and expenses.
The offering is expected to close on or about February 24, 2026, subject to customary closing conditions. Craig-Hallum is serving as the sole placement agent for the transaction.
Atomera stated it intends to use the net proceeds for working capital and general corporate purposes. The company is conducting the offering under its shelf registration statement on Form S-3 that was filed with the Securities and Exchange Commission on May 27, 2025, and declared effective on June 3, 2025.
The Los Gatos, California-based company develops Mears Silicon Technology, which the company describes as technology that increases performance and power efficiency in semiconductor transistors. According to Atomera, the technology can be implemented using existing semiconductor manufacturing equipment.
