Argo Graphene Solutions completes CDN$634,821 private placement

Argo Graphene Solutions Corp. (CSE: ARGO) (OTCQB: ARLSF) (FSE: 94Y) completed its non-brokered private placement offering on June 4, issuing 1,154,220 units at CDN$0.55 per unit for gross proceeds of CDN$634,821.



Each unit consists of one common share and one transferable warrant. The warrants allow holders to purchase additional common shares at $0.70 per share until June 4, 2028.



The company paid aggregate finder's fees of $23,815 and issued 43,300 finder's warrants to eligible finders. These warrants carry the same exercise price and expiry date as the unit warrants.



Argo plans to use the proceeds for general working capital and continued research and development of graphene products. All securities issued are subject to a four-month hold period ending October 5, 2026, under Canadian securities laws.



A company director participated in the offering for aggregate proceeds of $4,400, constituting a related party transaction under Multilateral Instrument 61-101. The company relied on exemptions from formal valuation and minority shareholder approval requirements since the transaction value represents less than 25% of the company's market capitalization.



The Vancouver-based company develops graphene-enhanced technologies for construction, infrastructure, agriculture, and industrial manufacturing applications.
