Argo Graphene Solutions closes private placement raising CDN$634,821

Argo Graphene Solutions Corp. (CSE: ARGO) (OTCQB: ARLSF) (FSE: 94Y) completed a non-brokered private placement offering, issuing 1,154,220 units at CDN$0.55 per unit for gross proceeds of CDN$634,821, according to a company statement.



Each unit consists of one common share and one transferable warrant. The warrants allow holders to purchase additional common shares at $0.70 per share until June 4, 2028.



The company paid finder's fees totaling $23,815 and issued 43,300 finder's warrants to eligible finders. These warrants carry the same terms as the unit warrants, exercisable at $0.70 per share until June 4, 2028.



Argo plans to use the proceeds for general working capital and continued research and development of graphene products. All securities issued are subject to a four-month hold period ending October 5, 2026, under Canadian securities laws.



A company director participated in the offering for $4,400, which constitutes a related party transaction under Multilateral Instrument 61-101. The company relied on exemptions from formal valuation and minority shareholder approval requirements since the director's participation represents less than 25% of the company's market capitalization.



Argo Graphene Solutions develops graphene-enhanced technologies for construction, infrastructure, agriculture, and industrial manufacturing applications. The Vancouver-based company focuses on materials designed to improve strength, durability, conductivity, and water resistance across various commercial and industrial uses.
