Arcturus Therapeutics (ARCT) Prices 4.12M Share Common Stock Offering at $17/sh

Arcturus Therapeutics Holdings Inc. (NASDAQ: ARCT), a leading clinical-stage messenger RNA medicines company focused on the discovery, development and commercialization of therapeutics for rare diseases and vaccines, today announced the pricing of an underwritten public offering of 4,117,650 shares of its common stock at a public offering price of $17.00 per share. The gross proceeds of the offering to the Company are expected to be approximately $70 million, before deducting the underwriting discounts and commissions and other estimated offering expenses. In addition, the Company granted the underwriters a thirty-day option to purchase up to an additional 617,647 shares of common stock at the public offering price, less underwriting discounts and commissions.

The closing of the offering is expected to occur on or about April 20, 2020, subject to the satisfaction of customary closing conditions.

Guggenheim Securities is acting as sole book-running manager for the offering. Baird is acting as lead manager for the offering. Roth Capital Partners and Ladenburg Thalmann are acting as co-managers for the offering.

The Company intends to use the net proceeds of the offering for working capital and general corporate purposes, which may include capital expenditures and research and development expenditures related to the advancement of LUNAR-OTC, LUNAR-COV19 and its other product candidates and clinical trial expenditures.

The securities described above are being offered by the Company pursuant to a shelf registration statement on Form S-3 (File No. 333-232281) previously filed with the Securities and Exchange Commission (“SEC”) on June 21, 2019 and declared effective by the SEC on July 29, 2019, and a related registration statement filed pursuant to Rule 462(b) under the Securities Act of 1933, as amended.
