Aptevo raises $4.5M through warrant exercise and private placement

Aptevo Therapeutics Inc. (NASDAQ: APVO), a clinical-stage biotechnology company, announced it has entered into warrant inducement agreements and a private placement expected to generate approximately $4.5 million in gross proceeds, before placement agent fees and expenses.
Under the warrant inducement agreements, certain existing warrant holders agreed to exercise their warrants in full for cash, covering up to 254,922 shares of common stock at a reduced exercise price of $4.03 per share. In exchange, Aptevo will issue new unregistered warrants to purchase up to 1,274,610 shares of common stock at the same $4.03 exercise price. These new warrants will be exercisable upon receipt of required stockholder approval and expire five years after their initial exercise date.
In a separate private placement, Aptevo agreed to sell up to 861,708 unregistered shares of common stock at $4.03 per share, along with warrants to purchase up to 4,308,540 additional shares at the same price. Purchasers subject to beneficial ownership limitations of 4.99% or 9.99% may elect to receive pre-funded warrants in lieu of shares. The common warrants from the private placement will also require stockholder approval before becoming exercisable and will expire five years after their initial exercise date.
Roth Capital Partners, LLC is serving as exclusive placement agent for the transactions, which were expected to close on or about August 13, 2026, subject to customary closing conditions.
Aptevo stated it intends to use the net proceeds for working capital purposes. The company also said it plans to file a registration statement with the Securities and Exchange Commission covering the resale of the shares and those issuable upon exercise of the warrants.
