Appia closes final tranche of private placement for $734,200

Appia Rare Earths & Uranium Corp. (CSE: API) announced it will close the final tranche of a non-brokered private placement on October 15, 2025, issuing 3,968,648 working capital units at $0.185 per unit for gross proceeds of $734,200.



Each working capital unit consists of one common share and half of a warrant. The full warrants allow holders to purchase one common share at $0.30 until two years from closing, or earlier if the company's share price reaches $0.40 for ten consecutive trading days at least four months after closing.



Securities issued will have a hold period until February 16, 2026. The company stated proceeds will fund general working capital and exploration activities on properties in Brazil and Saskatchewan.



Separately, Appia announced that Ultra Rare Earth Inc. has until October 15, 2025 to provide notice regarding its intention to close a transaction to acquire a 50% interest in Appia Brasil Rare Earths Mineracao Ltda, which holds the PCH Project in Brazil's Goias State.



Under the binding term sheet dated August 29, 2025, Ultra would invest $2 million USD in an Appia unit private placement comprising 5,520,000 units at $0.50 CAD per unit. Each unit would include one common share and half of a warrant exercisable at $0.70 CAD for 24 months.



The Toronto-based company operates in rare earth elements and uranium sectors, holding exploration rights to 94,982 hectares in Saskatchewan and interests in properties in Brazil's Goias State and Ontario's Elliot Lake Camp. Appia has 170 million common shares outstanding.
