Amylyx Pharmaceuticals, Inc. (Nasdaq: AMLX) has announced a proposed underwritten public offering of $350.0 million in shares of its common stock, according to a press release from the Cambridge, Mass.-based company.
Amylyx also intends to grant underwriters a 30-day option to purchase up to an additional $52.5 million in shares at the public offering price, less underwriting discounts and commissions. All shares are being offered by Amylyx.
The company said it plans to use the net proceeds, combined with existing cash, cash equivalents, and marketable securities, to fund pre-commercial activities for avexitide — including securing additional manufacturing capacity — as well as research and development and general corporate purposes.
Leerink Partners, Morgan Stanley, Guggenheim Securities, and LifeSci Capital are serving as joint bookrunning managers for the offering.
The shares are being offered under a shelf registration statement on Form S-3ASR that became automatically effective upon filing with the Securities and Exchange Commission on March 3, 2026. The company noted the offering is subject to market and other conditions, with no assurance given as to whether or when it may be completed.
