AmperCap Acquisition raises $125 million in NASDAQ IPO

AmperCap Acquisition Company completed its initial public offering, raising $125 million through the sale of 12.5 million units priced at $10 each, according to a company statement.



The company's units began trading June 3 on NASDAQ under the ticker NASDAQ: APMCU. Each unit consists of one ordinary share and one right to receive one-tenth of an ordinary share upon completion of the company's initial business combination. The ordinary shares and rights will trade separately under the symbols NASDAQ: APMC and NASDAQ: APMCR once separate trading begins.



AmperCap placed $126.25 million from the IPO proceeds and a simultaneous private placement into a trust account. The company granted underwriters a 45-day option to purchase up to 1.875 million additional units to cover over-allotments.



The blank check company was formed to pursue mergers, acquisitions or other business combinations. AmperCap stated it will focus on middle-market companies in or with strategic ties to the United States and Mexico.



The management team is led by co-chief executive officers Alberto Gutierrez Pier and Harish Dadoo Gonzalez, who also serves as chief financial officer. The board includes Luis Pena Kegel, John Salemi and Alberto Flores Ibarrola.



EarlyBirdCapital served as lead book-running manager for the offering, with Clear Street as co-manager. The Securities and Exchange Commission declared the registration statement effective June 2.
