American Critical Minerals announces $6 million equity raise

American Critical Minerals Corp. (CSE: KCLI) (OTCQB: APCOF) (FSE: 2P30) announced a $4 million bought deal offering and concurrent $2 million non-brokered private placement, according to a press release statement.



The company entered into an agreement with Research Capital Corporation as sole underwriter to purchase 11,429,000 units at $0.35 per unit for gross proceeds of $4,000,150. The concurrent non-brokered private placement involves up to 5,714,286 units at the same price for gross proceeds of up to $2 million.



Each unit consists of one common share and one-half warrant. The warrants allow holders to purchase one common share at $0.45 for 36 months following closing, with a 60-day restriction on exercise after closing.



The company stated net proceeds will be used for working capital and general corporate purposes. The underwriter received an option to increase the offering size by up to 15% of total units, exercisable until 48 hours before closing.



Research Capital Corporation will receive a 7% cash commission on gross proceeds and broker warrants equal to 7% of units sold. Each broker warrant permits purchase of one unit at the offering price for 36 months after closing.



The offerings utilize the listed issuer financing exemption under Canadian securities regulations in all provinces except Quebec and other qualifying jurisdictions including the United States. Units offered under this exemption will be immediately free-trading under Canadian securities laws.



Closing is expected during the week of October 27, 2025, subject to regulatory approvals including conditional approval from the Canadian Securities Exchange.



American Critical Minerals operates the Green River Potash and Lithium Project in Utah's Paradox Basin, holding mineral leases and claims covering approximately 32,530 acres.
