Alvotech issues 12.5 million shares to subsidiary for $65 million

Alvotech (NASDAQ: ALVO) issued 12.5 million ordinary shares to its subsidiary Alvotech Manco ehf. for $5.2 per share, totaling $65 million, according to a company statement released February 11.
The transaction increased Alvotech's total issued shares from 334,038,147 to 346,538,147. The subsidiary now holds 16,254,005 shares, representing 4.7% of issued shares. These shares are treated as treasury shares without voting rights or dividend entitlement.
The number of outstanding shares remains unchanged at 330,284,142, as the newly issued shares are held as treasury stock.
Alvotech stated the share issuance is intended to replenish treasury shares used in a stock lending facility announced December 17, 2025. The company had provided shares to buyers of its convertible bonds to facilitate their hedging activities.
The biotech company said maintaining sufficient treasury shares allows it to fulfill commitments related to warrants, convertible financial instruments, and share-based employee compensation.
Alvotech develops and manufactures biosimilar medicines, with five products already approved and marketed globally. The company has biosimilar candidates in development targeting autoimmune disorders, eye disorders, respiratory disease, hematological disorders and cancer.
